SAP to Acquire WalkMe, Enhancing Digital Adoption Capabilities

SAP SE has announced its acquisition of WalkMe, a leading provider of digital adoption platforms (DAPs), in a definitive agreement valued at approximately US $1.5 billion. At a  substantial premium of 45% over WalkMe's closing share price on June 4, 2024, the acquisition is valued at US $14.00 per share in cash. This move underscores SAP’s strategy to bolster its Business Transformation Management portfolio, complementing existing offerings like SAP Signavio and SAP LeanIX.

WalkMe’s technology enables organizations to enhance productivity and reduce operational risk by facilitating seamless and efficient software adoption across diverse application landscapes. WalkMe ensures users can navigate complex technologies effectively. The acquisition strategically aligns with SAP’s commitment to support end users in maximizing the value of their IT investments, fostering innovation, and delivering enhanced customer service. WalkMe will continue to support non-SAP applications, further expanding its market presence and leveraging SAP’s extensive ecosystem to drive future growth. The transaction is expected to finalize in the third quarter of 2024. SAP anticipates the acquisition to have an immaterial impact on its non-IFRS earnings per share for fiscal 2024, paving the way for collaborative advancements in digital adoption and AI-driven productivity solutions.
